By accessing or using ClearRoute ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users of the Service, including account holders, API integrators, and trial users.
ClearRoute is an autonomous payment routing SaaS. It evaluates each transaction against your configured Payment Service Providers (PSPs) and routes the transaction to the optimal PSP based on cost, latency, and historical success rate. Routing decisions are made by a software agent and are logged for audit.
ClearRoute does not itself process, hold, or transmit cardholder data. It operates as a routing layer between you and your PSPs.
You must register an account to use the Service. You represent that:
ClearRoute is offered in three tiers:
All fees are billed in USD through Stripe on a monthly recurring basis. You authorize recurring charges to your designated Stripe payment method. All fees are non-refundable except as required by applicable law. Usage beyond your plan's included routing decisions will be billed at $0.005 per decision, invoiced at month-end.
ClearRoute reserves the right to change pricing with 30 days' written notice. Price changes apply to the next billing cycle following notice.
You may not use the Service to:
You retain ownership of all transaction data you submit through the Service. You grant ClearRoute a limited, non-exclusive license to process that data solely to provide the routing service. ClearRoute does not sell, share, or use your transaction data for any purpose other than providing and improving the Service.
You are solely responsible for ensuring that your submission of transaction data complies with applicable data protection laws, including PCI DSS where applicable.
ClearRoute's routing agent makes decisions based on the configuration you provide (PSPs, weighting preferences) and historical performance data. Routing decisions are made automatically and are intended to optimize for cost, latency, and success rate.
ClearRoute does not guarantee that any individual transaction will be routed to a specific PSP, will succeed, or will achieve a specific outcome. Routing logs are available in your dashboard and via API for audit purposes.
If you access the Service via API, you are responsible for keeping your API keys secure. All API requests are scoped to your account and customer_id. You may not share API keys or use them beyond the scope of your subscription tier.
ClearRoute integrates with your PSP accounts via API keys you provide. ClearRoute is not responsible for the availability, pricing, or behavior of any third-party PSP. You are responsible for reviewing and complying with your PSP's terms of service.
ClearRoute is committed to maintaining PCI DSS compliance as described in our PCI DSS Compliance statement, available at /legal/pci. As a routing layer, ClearRoute does not store full card numbers or CVV data.
You are responsible for securing your own account credentials and PSP API keys. If you become aware of unauthorized access, you must notify ClearRoute immediately at security@clearroute.app.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ClearRoute does not warrant that the Service will be uninterrupted, error-free, or completely secure.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARRoute LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, OR DATA, ARISING FROM YOUR USE OF THE SERVICE.
IN NO EVENT WILL CLEARRoute's TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE EXCEED THE FEES YOU PAID CLEARROUTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless ClearRoute, its officers, employees, and agents from any claim, demand, or damage (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate your account with 30 days' written notice. ClearRoute may suspend or terminate your access immediately if you breach these Terms, violate applicable law, or pose a security risk. Upon termination, your data will be retained for 90 days and then deleted, except as required by law.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
ClearRoute may update these Terms from time to time. Changes will be posted at /legal/terms with an updated effective date. Material changes will be communicated via the email associated with your account. Continued use after changes constitutes acceptance.
